Contract Law
As is widely known, entrepreneurial activity is an independent activity of legal entities and individuals, carried out in civilian circulation aimed at systematically receiving profits from the use of property, sale of things as well as from performance of work or provision of services. As a rule such an activity comprises the performance by businesses of various types of transactions.
In turn, in the process of conduct of any given transactions by such entities, nothing other than the conclusion and subsequent execution of economic and civil law contracts occurs.
In practice, there is often an opinion in the business environment that the value of the contract should not be overestimated, and therefore its detailed study and examination involving, for instance, professional lawyers, is unnecessary, excessive and in many ways burdensome. After all, the parties to the transaction can independently "agree on everything and reach an agreement on all the terms of the contract".
It is in cases where such an approach is applied later disputes and conflicts prevalently arise, based on the improper performance by one of the parties to a contract of its own contractual obligations.
In such cases issues related to various contractual risks may not be worked out as well, or the achieved terms of the transaction will not find their adequate and competent integration into a written contract. All this may certainly lead to the onset of sufficiently significant negative consequences for the parties to the contract.
We are convinced that the issues of concluding and executing any types of contracts should be approached with a sufficient degree of prudence and reasonableness, without neglecting the services of professional lawyers, especially in cases where the transaction price and the risks associated with its execution can be very significant.
