Key activities:

• Consulting (verbal and written) on the setting up (establishment) of legal entities, including: determining the most appropriate organizational and legal form of a legal entity being established, its corporate governance structure, recommendations on documenting the relationship between the founders;
• Drawing up all the necessary documentation for the state registration of the legal entity being established;
• Legal support and/or proxy representation of the founders’ interests of the legal entity being established in the registering body;
• Drafting of other documentation as well as implementation of all procedures related to the legal entity establishment after its state registration;
• Representing the interests of participants (shareholders) in the governing bodies of joint stock companies and limited companies’ activities: General Meeting of Participants (Shareholders), Supervisory Board (Board of Directors);
• Services for organizing and conducting the general meetings of participants (shareholders), drafting all the necessary documentation therefor as well as legal support and/or proxy representation of interests of participants (shareholders) in the process of holding such meetings;
• Drawing up legal entities corporate documentation including local legal acts, minutes of general meetings of participants (shareholders) and others;
• Advising on concluding partnership agreements between founders (participants, shareholders) on organizing (establishing) and running a business, namely shareholder agreements (agreements on exercising the rights of participants) as well as drafting such agreements;
• Advising as well as drawing up all the necessary documentation on the organization of joint stock companies and limited companies affiliated persons’ records keeping;
• Services in the implementation of the equity issuance (floating) and registration of shares of joint stock companies, drafting of all the necessary documentation therefor, as well as representation of interests in the territorial divisions of the Securities Department;
• Services when making changes and (or) additions to the constituent documents (Articles of association etc.) of legal entities, i.e. in connection with a change in the amount of the statutory fund, the name of the legal entity, bringing the constituent documents in accordance with current legislation; drafting of all the necessary documentation therefor along with legal support and/or proxy representation of interests in the registering body;
• Services when changing the location (legal address) of legal entities, consulting required, drawing up all the necessary documentation, as well as legal support and/or proxy representation of interests in the registering body;
• Services for the replacement of the head of a legal entity, consulting required, drafting of all the necessary documentation, as well as legal support and/or proxy representation of interests in the registering body;
• Full range of legal support services for creation of holding companies, associations (unions);
• Services in resolving corporate disputes between participants (shareholders) of legal entities.
